Terms and Conditions

These Terms and Conditions ('Terms') govern your access to and use of Payrillium's website, products, services, and APIs. By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, do not use our services.

1. Acceptance of Terms

By creating an account, submitting a request, or using any Payrillium service, you represent that you are at least 18 years of age, have the legal capacity to enter into contracts, and agree to these Terms on behalf of yourself and any entity you represent.

2. Services

Payrillium provides payment technology solutions including hardware, software, engineering services, device management, and related consulting.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

Service availability may be subject to separate service level agreements for enterprise clients.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.

You must provide accurate and complete information when registering.

You must promptly notify Payrillium of any unauthorized use of your account.

Payrillium reserves the right to suspend or terminate accounts that violate these Terms.

4. Payment Terms

Fees for Payrillium services are as set forth in your order form, statement of work, or subscription agreement.

Unless otherwise specified, fees are due within 30 days of invoice date.

Late payments may be subject to interest at 1.5% per month.

All fees are non-refundable except as set forth in our Return Policy.

5. Intellectual Property

Payrillium retains all intellectual property rights in its products, software, documentation, and services.

You are granted a limited license to use our services as described in these Terms or applicable agreements.

You retain ownership of data you submit to our platform, but grant Payrillium a limited license to process such data to provide our services.

You may not use Payrillium's name, logos, or trademarks without prior written consent.

6. Confidentiality

Each party agrees to maintain the confidentiality of the other's proprietary and confidential information and to use such information only in connection with the services. This obligation survives termination for a period of five (5) years.

7. Warranties and Representations

You represent that you will use our services in compliance with all applicable laws and regulations, including PCI DSS, EMV standards, and applicable data protection laws.

You represent that you have all necessary rights and consents to process any cardholder or personal data through our platform.

Payrillium warrants that its services will perform materially in accordance with applicable documentation.

8. Limitation of Liability

EXCEPT FOR BREACHES OF CONFIDENTIALITY OR INTELLECTUAL PROPERTY OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. PAYRILLIUM'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Payrillium and its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable attorney's fees) arising from your use of the services, violation of these Terms, or infringement of third-party rights.

10. Termination

Either party may terminate these Terms with 30 days written notice.

Payrillium may suspend or terminate your access immediately for material breach, non-payment, or illegal activity.

Upon termination, your license to use the services ends immediately.

Sections 5, 6, 8, 9, and 10 survive termination.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the applicable jurisdiction without regard to conflict of law principles. Disputes will first be attempted to be resolved through good-faith negotiation, followed by binding arbitration if negotiation is unsuccessful.

12. Changes to Terms

Payrillium reserves the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Continued use of our services after changes constitutes acceptance.
