End User License Agreement (EULA)

IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT ('AGREEMENT') CAREFULLY BEFORE USING PAYRILLIUM SOFTWARE. BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.
1. Grant of License
Payrillium, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to use the Payrillium software ('Software') solely for your internal business purposes related to payment processing and point-of-sale operations, subject to the terms of this Agreement.
2. Restrictions
You may not sublicense, sell, resell, transfer, assign, or otherwise dispose of the Software or any rights in the Software.
You may not modify, translate, adapt, or create derivative works based on the Software.
You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
You may not remove or alter any proprietary notices, labels, or marks on the Software.
You may not use the Software to develop a competing product or service.
You may not use the Software in any way that violates applicable laws or regulations, including PCI DSS requirements.
3. Ownership
The Software is licensed, not sold. Payrillium retains all right, title, and interest in and to the Software, including all intellectual property rights therein. Your rights to use the Software are limited to those expressly granted in this Agreement.
4. Updates and Upgrades
Payrillium may, at its sole discretion, provide updates, upgrades, or patches to the Software. Such updates may be automatic and may modify the Software's features and functionality. This Agreement applies to all updates and upgrades unless they are accompanied by a separate license.
5. PCI DSS and Security
You acknowledge that the Software is designed to assist with PCI DSS compliance but does not guarantee compliance. You remain solely responsible for ensuring your implementation and use of the Software meets all applicable PCI DSS, EMV, and other regulatory requirements.
6. Privacy and Data
Your use of the Software is also governed by our Privacy Policy. You agree to comply with all applicable data protection laws in connection with your use of the Software, including those relating to the processing of cardholder data.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED 'AS IS' WITHOUT WARRANTY OF ANY KIND. PAYRILLIUM EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAYRILLIUM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PAYRILLIUM'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
9. Term and Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term of this Agreement.
Upon termination, you must cease all use of the Software and destroy all copies in your possession.
Payrillium may terminate this Agreement at any time with thirty (30) days written notice.
Sections 3, 7, 8, and 10 shall survive termination.
10. Governing Law
This Agreement shall be governed by the laws of the State of [State], without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction in [State].
11. Entire Agreement
This Agreement constitutes the entire agreement between you and Payrillium regarding the Software and supersedes all prior agreements and understandings. Any amendments must be in writing and signed by authorized representatives of both parties.
